Labasam Ridesharing – Terms & Conditions of Company

1. INTRODUCTION

Welcome to Labasam Ridesharing Pvt. Ltd. (“Labasam”, “we”, “us”, or “the Company”). Please read these Terms & Conditions (“Terms” or “Agreement”) carefully before using the Labasam mobile application, software, or any Labasam services (“Services”).

By downloading, installing, or using the Labasam Application (“Application”) or related software (“Software”), you acknowledge that you:

Have read, understood, and accepted these Terms;
Agree to comply with the Labasam Driver Code of Conduct;
Agree that these Terms form a legally binding agreement between you and Labasam.

If you do not accept these Terms, you must immediately stop using the Application or the Services.

Your continued use of Labasam constitutes acceptance of all future amendments, updates, or modifications published on the Application or official Labasam communication channels.

2. DESCRIPTION OF SERVICES

Labasam provides a technology platform that enables independent drivers (“Drivers”) and users (“Passengers”) to connect for ride services. Labasam:

Does not provide transportation services,
Fare bidding and negotiation
Is not a taxi company, transport operator, or carrier, and
Is not responsible for the actual transportation activity conducted by Drivers.

The driver is solely responsible for providing transportation services to passengers and for complying with all applicable Nepali traffic laws, insurance requirements, and safety regulations.

Labasam may introduce new service categories, update operational features, or make improvements based on field performance, customer feedback, and regulatory direction.

Users may choose from multiple vehicle categories based on need and affordability. Fares for each category may vary according to Labasam’s pricing mechanism and relevant Nepali
regulations.

3. LABASAM IS NOT A TRANSPORTATION PROVIDER

Labasam only offers a digital platform to facilitate communication between Drivers and Passengers.

By using the Application, you agree that:

You operate as an independent service provider, not an employee, partner, or agent of Labasam;
Labasam does not control your driving, vehicle conditions, behavior, or the safety of your activity;
Labasam is not liable for your actions, misconduct, accidents, losses, injuries, or damages that occur during rides.

You must not advertise competing platforms, distribute unauthorized discounts, or engage passengers for private or off-app rides.

4. RIGHT TO REFUSE & BLACKLISTING

Labasam reserves full discretion to:

Suspend, limit, or permanently terminate your access,
Reject your request to use the Application,

for reasons including but not limited to:

Passenger complaints,
Unsafe driving,
Fraudulent activity,
Unprofessional behavior with passengers, staff, or authorities,
Fare manipulation or negotiating outside the Application,
Violating Nepali law or Labasam policies.

Labasam is not required to provide justification for such action.

5. DRIVER REPRESENTATIONS & WARRANTIES

By using the Services, you confirm that:

You are at least 18 years old.
You are legally allowed to enter binding agreements under Nepali law.
All information you provide is accurate and up to date.
You will only use your account personally and never allow others to use your access.
You will comply with all Nepal government traffic rules and regulatory
requirements.

Furthermore, you agree that:

5.1 Licensing & Vehicle Compliance

You hold a valid Nepali driver’s license.
You have legal authority to operate the vehicle.
Your vehicle meets roadworthiness, emission, insurance, and safety standards.
Your vehicle is legally registered in Nepal.

5.2 Insurance & Responsibility

You hold valid third-party insurance as required by Nepali law.
You are solely responsible for any accidents, injuries, deaths, property damage, or legal liabilities arising from your driving.

5.3 Lawful Use

You agree not to:

Conduct unlawful activities through the Application.
Carry illegal items, contraband, or banned goods.
Harass passengers or misuse personal information.
Manipulate the Application or disrupt its operation.
Use the Application for fake, fraudulent, or malicious bookings
Interfere with network operations or attempt unauthorized access to Labasam systems.

5.4 Cooperation with Authorities

You must cooperate with law enforcement and regulatory authorities when required.

6. LICENSE TO USE THE APPLICATION

Labasam grants you a limited, non-transferable, revocable license to use the Application solely for providing transportation services through Labasam.

You must not:

Copy, modify, resell, or commercially exploit the Application;
Reverse-engineer, data-mine, or replicate Labasam systems;
Use automated tools (bots, crawlers, scripts);
Impersonate other users or misrepresent your identity;
Use the platform for unwanted marketing or spam.

All intellectual property rights remain the exclusive property of Labasam.

7. PAYMENT TERMS

7.1 Service Fees

Labasam charges a Service Fee, which may be a percentage of each fare. This amount is deducted or payable to Labasam as determined by Labasam policy.

Service Fees are non-refundable, regardless of suspension, termination, technical issues, or discontinuation of use.

7.2 Fare Collection

You collect the full fare from the passenger. A portion of this fare constitutes Labasam’s
Service Fee which you collect on behalf of Labasam.

7.3 Threshold Payments

When your accumulated Service Fees reach the daily threshold set by Labasam, you must deposit the amount via the authorized payment method. Failure to do so may result in suspension or blacklisting.

7.4 Fare Adjustments

Labasam may adjust the fare if:

The actual time or distance significantly differs from the estimate;
System errors occur;
Fraud or misuse is detected.

8. PASSENGER PAYMENTS

Passengers may pay via:

Cash
Digital wallets, mobile payments, or Labasam credits (if available)

Labasam may withhold or delay payments if fraudulent or illegal activity is suspected.

Passenger complaints about the ride must be resolved directly between you and the passenger unless Labasam chooses to mediate.

You agree to assist Labasam in any internal investigations.

9. TAXES

You are responsible for complying with Nepali tax obligations including but not limited to:

PAN registration (if applicable),
Income tax,
VAT obligations (if applicable),
Any future tax changes introduced by the Government of Nepal.

You must support Labasam if tax authorities require verification or documentation.

10. CONFIDENTIALITY

You must keep all Labasam-related information confidential, including:

Business operations,
Pricing, systems, policies,
Passenger data,
Any non-public information.

Confidential information must not be shared unless required by law.

11. PERSONAL DATA PROTECTION

You consent to Labasam collecting, using, storing, and sharing your personal data in accordance with the Nepal Privacy Act 2075 and Labasam’s Privacy Notice.

Personal Data includes information such as:

Name, phone number, address
Driver’s license, citizenship, identity documents
Vehicle documents
Location, app usage, and transaction data

Your data may be used for:

Account verification
Payment processing
Safety, fraud prevention, and legal compliance
App improvement and service optimization
Communication, notifications, customer support
Research, development, or analytics
Compliance with Nepali law enforcement and government authorities

You may request access, correction, or deletion subject to legal requirements.

12. THIRD-PARTY INTERACTIONS

You may interact with:

Payment partners
Merchants
Government authorities
Third-party service providers

Labasam is not responsible for services, products, or interactions involving third parties.
Any additional terms required by third-party providers are your responsibility to comply
with.

13. INDEMNIFICATION

You agree to fully indemnify Labasam for any claims, losses, damages, legal expenses, or liabilities arising from:

Your breach of these Terms,
Accidents or incidents during rides,
Your negligence, misconduct, or unlawful acts,
Claims by passengers or third parties,
Violations of Nepali laws.

14. DISCLAIMER OF WARRANTIES

Labasam does not guarantee:

Uninterrupted or error-free service
Accuracy of GPS or routing
Availability of rides or earnings
Freedom from viruses, glitches, or downtime
Reliability or suitability of passengers

The platform is provided “as is” without warranties of any kind.

You use the Application and Services at your own risk.

15. INTERNET DELAYS

Labasam is not responsible for delays, failures, or losses caused by:

Network problems
Internet outages
Device malfunction
Connectivity issues

16. LIMITATION OF LIABILITY

Labasam’s total liability to you is strictly limited to the amount of Service Fees paid by you during the incident in question.

Labasam is not liable for:

Accidents, injuries, deaths, property loss, or damages,
Passenger misconduct, harassment, or criminal behavior,
Loss of earnings, profits, data, or opportunities,
Legal actions taken by authorities against you,
Any liabilities resulting from your driving or vehicle condition.

You are solely responsible for all outcomes of the transportation services you provide.

17. OPTIONAL INSURANCE / SAFETY COVERAGE

Labasam may offer optional insurance or safety coverage packages. Fees, coverage, and eligibility may vary and are subject to Labasam’s discretion.

18. NOTICES

Labasam may send notices via:

In-app notifications
SMS
Email
Physical mail (if required)

Notices are considered delivered according to Nepali legal time standards.

19. ASSIGNMENT

You may not assign your rights under this Agreement without written approval from Labasam.
Labasam may assign this Agreement to affiliates, successors, or third parties without requiring your consent.

20. GOVERNING LAW & DISPUTE RESOLUTION

These Terms are governed by the laws of Nepal.

20.1 Jurisdiction
Any disputes shall fall under the exclusive jurisdiction of the Courts of Nepal.

20.2 Arbitration
If arbitration is legally required:

Arbitration will be held in Kathmandu, Nepal
Proceedings will follow Nepali arbitration rules
The arbitrator’s decision is final
Costs may be divided as appropriate

Labasam may change the arbitration venue or procedure if necessary for fair resolution.

21. TERMINATION

Labasam may terminate this Agreement immediately if you:

Violate any Terms,
Provide false information,
Misuse the platform,
Endanger passengers or the public,
Engage in illegal activity.

Termination does not entitle you to compensation or refund of any payments.

22. ENTIRE AGREEMENT

These Terms constitute the complete and final agreement.

If any clause is found invalid under Nepali law, the remainder will remain enforceable.
